This Independent Contractor Agreement (\u201cAgreement\u201d) is entered into by and between:<\/p>\n\n\n\n
Company: Xtra Shift ES (\u201cCompany,\u201d \u201cPlatform,\u201d \u201cwe,\u201d \u201cour,\u201d or \u201cus\u201d)<\/p>\n\n\n\n
and<\/p>\n\n\n\n
Contractor: ______________________________ (\u201cContractor,\u201d \u201cyou,\u201d or \u201cyour\u201d).<\/p>\n\n\n\n
The Company operates an online platform that connects independent contractors with individuals and businesses seeking services across multiple industries.<\/p>\n\n\n\n
1. Purpose<\/p>\n\n\n\n
The purpose of this Agreement is to establish the terms under which the Contractor may create an account, advertise services, receive bookings, communicate with clients, and perform services through the Platform.<\/p>\n\n\n\n
2. Independent Contractor Status<\/p>\n\n\n\n
The Contractor acknowledges and agrees that:<\/p>\n\n\n\n
\u25cf The Contractor is an independent contractor and is not an employee, partner, agent, joint venturer, or representative of Xtra Shift ES.<\/p>\n\n\n\n
\u25cf Nothing in this Agreement creates an employer-employee relationship.<\/p>\n\n\n\n
\u25cf The Contractor has complete control over how services are performed.<\/p>\n\n\n\n
\u25cf The Contractor is solely responsible for determining work methods, schedules, tools, equipment, and assistants.<\/p>\n\n\n\n
3. Eligibility<\/p>\n\n\n\n
To use the Platform, the Contractor represents and warrants that they:<\/p>\n\n\n\n
\u25cf Are at least 18 years of age.<\/p>\n\n\n\n
\u25cf Have the legal authority to enter into this Agreement.<\/p>\n\n\n\n
\u25cf Hold all licenses, certifications, permits, registrations, and insurance required by applicable laws for the services offered.<\/p>\n\n\n\n
\u25cf Will maintain such credentials throughout their use of the Platform.<\/p>\n\n\n\n
4. Services<\/p>\n\n\n\n
The Contractor may offer services in any lawful industry supported by the Platform, including but not limited to:<\/p>\n\n\n\n
\u25cf Construction<\/p>\n\n\n\n
\u25cf Skilled trades<\/p>\n\n\n\n
\u25cf Healthcare staffing<\/p>\n\n\n\n
\u25cf Home services<\/p>\n\n\n\n
\u25cf Beauty and wellness<\/p>\n\n\n\n
\u25cf Cleaning services<\/p>\n\n\n\n
\u25cf Transportation<\/p>\n\n\n\n
\u25cf Delivery services<\/p>\n\n\n\n
\u25cf Business consulting<\/p>\n\n\n\n
\u25cf Administrative services<\/p>\n\n\n\n
\u25cf Information technology<\/p>\n\n\n\n
\u25cf Marketing<\/p>\n\n\n\n
\u25cf Education and tutoring<\/p>\n\n\n\n
\u25cf Event services<\/p>\n\n\n\n
\u25cf Hospitality<\/p>\n\n\n\n
\u25cf Landscaping<\/p>\n\n\n\n
\u25cf Maintenance<\/p>\n\n\n\n
\u25cf Photography<\/p>\n\n\n\n
\u25cf Creative services<\/p>\n\n\n\n
\u25cf Freelance professional services<\/p>\n\n\n\n
\u25cf Any other lawful services approved by the Platform.<\/p>\n\n\n\n
Xtra Shift ES reserves the right to approve, reject, suspend, or remove any service category.<\/p>\n\n\n\n
5. Contractor Responsibilities<\/p>\n\n\n\n
The Contractor agrees to:<\/p>\n\n\n\n
\u25cf Perform all services professionally and safely.<\/p>\n\n\n\n
\u25cf Arrive at scheduled appointments on time.<\/p>\n\n\n\n
\u25cf Communicate honestly with customers.<\/p>\n\n\n\n
\u25cf Provide accurate descriptions of services.<\/p>\n\n\n\n
\u25cf Maintain required insurance when applicable.<\/p>\n\n\n\n
\u25cf Follow all federal, state, and local laws.<\/p>\n\n\n\n
\u25cf Maintain all required licenses and certifications.<\/p>\n\n\n\n
\u25cf Complete booked services unless canceled according to Platform policies.<\/p>\n\n\n\n
6. Background Checks<\/p>\n\n\n\n
Where permitted by law, the Company may require:<\/p>\n\n\n\n
\u25cf Identity verification<\/p>\n\n\n\n
\u25cf Background checks<\/p>\n\n\n\n
\u25cf Professional license verification<\/p>\n\n\n\n
\u25cf Insurance verification<\/p>\n\n\n\n
\u25cf Drug screening for applicable industries<\/p>\n\n\n\n
The Company may suspend or terminate access if verification requirements are not met.<\/p>\n\n\n\n
7. Bookings<\/p>\n\n\n\n
Contractors understand that:<\/p>\n\n\n\n
\u25cf Booking requests are not guaranteed.<\/p>\n\n\n\n
\u25cf Customers choose contractors at their own discretion.<\/p>\n\n\n\n
\u25cf The Company does not guarantee a minimum number of bookings.<\/p>\n\n\n\n
\u25cf The Company may suspend booking privileges for policy violations.<\/p>\n\n\n\n
8. Pricing<\/p>\n\n\n\n
Contractors may:<\/p>\n\n\n\n
\u25cf Set their own prices where permitted by the Platform; or<\/p>\n\n\n\n
\u25cf Accept Platform-established pricing.<\/p>\n\n\n\n
The Company may collect service fees, booking fees, processing fees, subscription fees, or commissions, which will be disclosed before payment.<\/p>\n\n\n\n
9. Payments<\/p>\n\n\n\n
Payments may be processed through third-party payment providers.<\/p>\n\n\n\n
The Contractor agrees that:<\/p>\n\n\n\n
\u25cf Payment processing fees may apply.<\/p>\n\n\n\n
\u25cf Taxes may be withheld when required by law.<\/p>\n\n\n\n
\u25cf Payment schedules are determined by the Platform.<\/p>\n\n\n\n
\u25cf Chargebacks or customer disputes may delay payment.<\/p>\n\n\n\n
10. Taxes<\/p>\n\n\n\n
The Contractor is solely responsible for:<\/p>\n\n\n\n
\u25cf Federal income taxes<\/p>\n\n\n\n
\u25cf State income taxes<\/p>\n\n\n\n
\u25cf Local taxes<\/p>\n\n\n\n
\u25cf Self-employment taxes<\/p>\n\n\n\n
\u25cf Workers\u2019 compensation obligations<\/p>\n\n\n\n
\u25cf Unemployment taxes<\/p>\n\n\n\n
\u25cf Any other required tax obligations.<\/p>\n\n\n\n
The Company does not withhold taxes unless required by law.<\/p>\n\n\n\n
11. Equipment<\/p>\n\n\n\n
The Contractor supplies all tools, equipment, vehicles, supplies, uniforms, technology, and materials necessary to complete services unless otherwise agreed directly with the customer.<\/p>\n\n\n\n
12. Insurance<\/p>\n\n\n\n
The Contractor agrees to maintain any insurance required by law or reasonably necessary for the services provided, including where applicable:<\/p>\n\n\n\n
\u25cf General liability insurance<\/p>\n\n\n\n
\u25cf Professional liability insurance<\/p>\n\n\n\n
\u25cf Commercial auto insurance<\/p>\n\n\n\n
\u25cf Workers\u2019 compensation coverage<\/p>\n\n\n\n
\u25cf Occupational accident insurance<\/p>\n\n\n\n
The Company may request proof of insurance at any time.<\/p>\n\n\n\n
13. Customer Relationships<\/p>\n\n\n\n
Contractors agree to:<\/p>\n\n\n\n
\u25cf Treat customers respectfully.<\/p>\n\n\n\n
\u25cf Avoid discrimination or harassment.<\/p>\n\n\n\n
\u25cf Maintain professionalism.<\/p>\n\n\n\n
\u25cf Protect customer property.<\/p>\n\n\n\n
\u25cf Protect confidential information obtained during services.<\/p>\n\n\n\n
14. Safety<\/p>\n\n\n\n
The Contractor is solely responsible for:<\/p>\n\n\n\n
\u25cf Job-site safety.<\/p>\n\n\n\n
\u25cf Compliance with applicable safety regulations.<\/p>\n\n\n\n
\u25cf Proper use of equipment.<\/p>\n\n\n\n
\u25cf Personal protective equipment.<\/p>\n\n\n\n
\u25cf Safe completion of services.<\/p>\n\n\n\n
15. Prohibited Conduct<\/p>\n\n\n\n
Contractors shall not:<\/p>\n\n\n\n
\u25cf Provide false information.<\/p>\n\n\n\n
\u25cf Impersonate another individual or business.<\/p>\n\n\n\n
\u25cf Use the Platform for illegal purposes.<\/p>\n\n\n\n
\u25cf Commit fraud or deceptive practices.<\/p>\n\n\n\n
\u25cf Harass customers or other users.<\/p>\n\n\n\n
\u25cf Manipulate reviews or ratings.<\/p>\n\n\n\n
\u25cf Circumvent Platform payments when prohibited by Platform policy.<\/p>\n\n\n\n
\u25cf Upload malicious software or harmful content.<\/p>\n\n\n\n
16. Ratings and Reviews<\/p>\n\n\n\n
Customers may leave ratings and reviews.<\/p>\n\n\n\n
The Company may remove reviews that violate Platform policies but is not obligated to remove negative reviews solely because the Contractor disagrees with them.<\/p>\n\n\n\n
17. Intellectual Property<\/p>\n\n\n\n
The Company owns all rights to:<\/p>\n\n\n\n
\u25cf The Platform<\/p>\n\n\n\n
\u25cf Software<\/p>\n\n\n\n
\u25cf Website design<\/p>\n\n\n\n
\u25cf Mobile applications<\/p>\n\n\n\n
\u25cf Logos<\/p>\n\n\n\n
\u25cf Trademarks<\/p>\n\n\n\n
\u25cf Content<\/p>\n\n\n\n
\u25cf Branding<\/p>\n\n\n\n
The Contractor receives only a limited, non-exclusive license to use the Platform while complying with this Agreement.<\/p>\n\n\n\n
18. Confidentiality<\/p>\n\n\n\n
The Contractor agrees not to disclose confidential information obtained through the Platform, including customer information, pricing information, proprietary business information, or non-public Platform data.<\/p>\n\n\n\n
19. Privacy<\/p>\n\n\n\n
The Contractor agrees to comply with all applicable privacy and data protection laws and to use customer information only for purposes related to providing booked services.<\/p>\n\n\n\n
20. Limitation of Liability<\/p>\n\n\n\n
To the fullest extent permitted by law, the Company is not liable for:<\/p>\n\n\n\n
\u25cf Customer conduct<\/p>\n\n\n\n
\u25cf Contractor conduct<\/p>\n\n\n\n
\u25cf Lost profits<\/p>\n\n\n\n
\u25cf Business interruption<\/p>\n\n\n\n
\u25cf Property damage<\/p>\n\n\n\n
\u25cf Personal injury<\/p>\n\n\n\n
\u25cf Indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform.<\/p>\n\n\n\n
21. Indemnification<\/p>\n\n\n\n
The Contractor agrees to defend, indemnify, and hold harmless the Company and its owners, officers, employees, affiliates, agents, successors, and assigns from any claims, liabilities, damages, losses, costs, or expenses arising out of:<\/p>\n\n\n\n
\u25cf The Contractor\u2019s services.<\/p>\n\n\n\n
\u25cf Breach of this Agreement.<\/p>\n\n\n\n
\u25cf Violation of law.<\/p>\n\n\n\n
\u25cf Negligence or misconduct.<\/p>\n\n\n\n
\u25cf Injury to any person.<\/p>\n\n\n\n
\u25cf Damage to property.<\/p>\n\n\n\n
22. Suspension and Termination<\/p>\n\n\n\n
The Company may suspend or terminate the Contractor\u2019s account immediately for:<\/p>\n\n\n\n
\u25cf Fraud<\/p>\n\n\n\n
\u25cf Illegal activity<\/p>\n\n\n\n
\u25cf Safety concerns<\/p>\n\n\n\n
\u25cf Policy violations<\/p>\n\n\n\n
\u25cf Failure to maintain required licenses or insurance<\/p>\n\n\n\n
\u25cf Customer complaints involving serious misconduct<\/p>\n\n\n\n
\u25cf Any conduct that may harm customers or the Platform.<\/p>\n\n\n\n
The Contractor may terminate this Agreement by closing their account, subject to completing outstanding obligations.<\/p>\n\n\n\n
23. Dispute Resolution<\/p>\n\n\n\n
Any dispute arising under this Agreement shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration, except where prohibited by applicable law. Each party waives the right to a jury trial to the fullest extent permitted by law.<\/p>\n\n\n\n
24. Governing Law<\/p>\n\n\n\n
This Agreement shall be governed by the laws of the State of ____________________, without regard to conflict-of-law principles.<\/p>\n\n\n\n
25. Force Majeure<\/p>\n\n\n\n
The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cyberattacks, pandemics, or other force majeure events.<\/p>\n\n\n\n
26. Entire Agreement<\/p>\n\n\n\n
This Agreement constitutes the entire agreement between the parties regarding the Contractor\u2019s use of the Platform and supersedes all prior agreements, whether oral or written.<\/p>\n\n\n\n
27. Amendments<\/p>\n\n\n\n
The Company may amend this Agreement by providing notice through the Platform or by email. Continued use of the Platform after the effective date of an amendment constitutes acceptance of the updated Agreement.<\/p>\n\n\n\n
28. Severability<\/p>\n\n\n\n
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.<\/p>\n\n\n\n
29. Electronic Acceptance<\/p>\n\n\n\n
By creating an account, checking the acceptance box, or otherwise using the Platform, the Contractor acknowledges that they have read, understood, and agree to be bound by this Agreement. Electronic acceptance shall have the same legal effect as a handwritten signature, to the extent permitted by applicable law.<\/p>\n\n\n\n
