Independent Contractor Agreement
Effective Date: July 1, 2026
This Independent Contractor Agreement (“Agreement”) is entered into by and between:
Company: Xtra Shift ES (“Company,” “Platform,” “we,” “our,” or “us”)
and
Contractor: ______________________________ (“Contractor,” “you,” or “your”).
The Company operates an online platform that connects independent contractors with individuals and businesses seeking services across multiple industries.
1. Purpose
The purpose of this Agreement is to establish the terms under which the Contractor may create an account, advertise services, receive bookings, communicate with clients, and perform services through the Platform.
2. Independent Contractor Status
The Contractor acknowledges and agrees that:
● The Contractor is an independent contractor and is not an employee, partner, agent, joint venturer, or representative of Xtra Shift ES.
● Nothing in this Agreement creates an employer-employee relationship.
● The Contractor has complete control over how services are performed.
● The Contractor is solely responsible for determining work methods, schedules, tools, equipment, and assistants.
3. Eligibility
To use the Platform, the Contractor represents and warrants that they:
● Are at least 18 years of age.
● Have the legal authority to enter into this Agreement.
● Hold all licenses, certifications, permits, registrations, and insurance required by applicable laws for the services offered.
● Will maintain such credentials throughout their use of the Platform.
4. Services
The Contractor may offer services in any lawful industry supported by the Platform, including but not limited to:
● Construction
● Skilled trades
● Healthcare staffing
● Home services
● Beauty and wellness
● Cleaning services
● Transportation
● Delivery services
● Business consulting
● Administrative services
● Information technology
● Marketing
● Education and tutoring
● Event services
● Hospitality
● Landscaping
● Maintenance
● Photography
● Creative services
● Freelance professional services
● Any other lawful services approved by the Platform.
Xtra Shift ES reserves the right to approve, reject, suspend, or remove any service category.
5. Contractor Responsibilities
The Contractor agrees to:
● Perform all services professionally and safely.
● Arrive at scheduled appointments on time.
● Communicate honestly with customers.
● Provide accurate descriptions of services.
● Maintain required insurance when applicable.
● Follow all federal, state, and local laws.
● Maintain all required licenses and certifications.
● Complete booked services unless canceled according to Platform policies.
6. Background Checks
Where permitted by law, the Company may require:
● Identity verification
● Background checks
● Professional license verification
● Insurance verification
● Drug screening for applicable industries
The Company may suspend or terminate access if verification requirements are not met.
7. Bookings
Contractors understand that:
● Booking requests are not guaranteed.
● Customers choose contractors at their own discretion.
● The Company does not guarantee a minimum number of bookings.
● The Company may suspend booking privileges for policy violations.
8. Pricing
Contractors may:
● Set their own prices where permitted by the Platform; or
● Accept Platform-established pricing.
The Company may collect service fees, booking fees, processing fees, subscription fees, or commissions, which will be disclosed before payment.
9. Payments
Payments may be processed through third-party payment providers.
The Contractor agrees that:
● Payment processing fees may apply.
● Taxes may be withheld when required by law.
● Payment schedules are determined by the Platform.
● Chargebacks or customer disputes may delay payment.
10. Taxes
The Contractor is solely responsible for:
● Federal income taxes
● State income taxes
● Local taxes
● Self-employment taxes
● Workers’ compensation obligations
● Unemployment taxes
● Any other required tax obligations.
The Company does not withhold taxes unless required by law.
11. Equipment
The Contractor supplies all tools, equipment, vehicles, supplies, uniforms, technology, and materials necessary to complete services unless otherwise agreed directly with the customer.
12. Insurance
The Contractor agrees to maintain any insurance required by law or reasonably necessary for the services provided, including where applicable:
● General liability insurance
● Professional liability insurance
● Commercial auto insurance
● Workers’ compensation coverage
● Occupational accident insurance
The Company may request proof of insurance at any time.
13. Customer Relationships
Contractors agree to:
● Treat customers respectfully.
● Avoid discrimination or harassment.
● Maintain professionalism.
● Protect customer property.
● Protect confidential information obtained during services.
14. Safety
The Contractor is solely responsible for:
● Job-site safety.
● Compliance with applicable safety regulations.
● Proper use of equipment.
● Personal protective equipment.
● Safe completion of services.
15. Prohibited Conduct
Contractors shall not:
● Provide false information.
● Impersonate another individual or business.
● Use the Platform for illegal purposes.
● Commit fraud or deceptive practices.
● Harass customers or other users.
● Manipulate reviews or ratings.
● Circumvent Platform payments when prohibited by Platform policy.
● Upload malicious software or harmful content.
16. Ratings and Reviews
Customers may leave ratings and reviews.
The Company may remove reviews that violate Platform policies but is not obligated to remove negative reviews solely because the Contractor disagrees with them.
17. Intellectual Property
The Company owns all rights to:
● The Platform
● Software
● Website design
● Mobile applications
● Logos
● Trademarks
● Content
● Branding
The Contractor receives only a limited, non-exclusive license to use the Platform while complying with this Agreement.
18. Confidentiality
The Contractor agrees not to disclose confidential information obtained through the Platform, including customer information, pricing information, proprietary business information, or non-public Platform data.
19. Privacy
The Contractor agrees to comply with all applicable privacy and data protection laws and to use customer information only for purposes related to providing booked services.
20. Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for:
● Customer conduct
● Contractor conduct
● Lost profits
● Business interruption
● Property damage
● Personal injury
● Indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform.
21. Indemnification
The Contractor agrees to defend, indemnify, and hold harmless the Company and its owners, officers, employees, affiliates, agents, successors, and assigns from any claims, liabilities, damages, losses, costs, or expenses arising out of:
● The Contractor’s services.
● Breach of this Agreement.
● Violation of law.
● Negligence or misconduct.
● Injury to any person.
● Damage to property.
22. Suspension and Termination
The Company may suspend or terminate the Contractor’s account immediately for:
● Fraud
● Illegal activity
● Safety concerns
● Policy violations
● Failure to maintain required licenses or insurance
● Customer complaints involving serious misconduct
● Any conduct that may harm customers or the Platform.
The Contractor may terminate this Agreement by closing their account, subject to completing outstanding obligations.
23. Dispute Resolution
Any dispute arising under this Agreement shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration, except where prohibited by applicable law. Each party waives the right to a jury trial to the fullest extent permitted by law.
24. Governing Law
This Agreement shall be governed by the laws of the State of ____________________, without regard to conflict-of-law principles.
25. Force Majeure
The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cyberattacks, pandemics, or other force majeure events.
26. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the Contractor’s use of the Platform and supersedes all prior agreements, whether oral or written.
27. Amendments
The Company may amend this Agreement by providing notice through the Platform or by email. Continued use of the Platform after the effective date of an amendment constitutes acceptance of the updated Agreement.
28. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
29. Electronic Acceptance
By creating an account, checking the acceptance box, or otherwise using the Platform, the Contractor acknowledges that they have read, understood, and agree to be bound by this Agreement. Electronic acceptance shall have the same legal effect as a handwritten signature, to the extent permitted by applicable law.
