Welcome to Xtra Shift ES (“Company,” “we,” “our,” or “us”). These Terms and Conditions govern your use of our contractor job search and booking platform.

By creating an account or using our Platform, you agree to these Terms.

1. Purpose of the Platform

Our Platform connects independent contractors with individuals and businesses seeking contractor services.

We are a marketplace only. We do not employ contractors, supervise their work, or guarantee the quality, completion, or outcome of any services.

2. Eligibility

You must be at least 18 years old to use this Platform.

By creating an account, you represent that all information you provide is accurate and truthful.

3. Independent Contractor Relationship

All contractors using this Platform are independent contractors.

Nothing in these Terms creates an employer-employee relationship, partnership, joint venture, or agency relationship between the Platform and any contractor.

Contractors are solely responsible for:

● Taxes

● Licenses

● Certifications

● Insurance

● Background checks (unless otherwise stated)

● Compliance with federal, state, and local laws

4. Contractor Responsibilities

Contractors agree to:

● Provide truthful information

● Maintain any required licenses and certifications

● Perform services professionally

● Arrive on time for booked jobs

● Communicate honestly with clients

● Complete work safely and legally

● Maintain any required insurance

Contractors are responsible for the quality of their work.

5. Customer Responsibilities

Customers agree to:

● Provide accurate job descriptions

● Maintain a safe work environment

● Pay agreed-upon fees

● Treat contractors respectfully

● Comply with all applicable laws

6. Bookings

Bookings are requests between customers and contractors.

The Platform does not guarantee that:

● A contractor will accept a booking

● A customer will hire a contractor

● Any job will be completed

Either party may cancel according to the cancellation policy.

7. Payments

Payments may be processed through a third-party payment processor.

The Platform may deduct service fees before distributing contractor payments.

Contractors are solely responsible for reporting income and paying taxes.

8. Fees

The Platform may charge:

● Service fees

● Subscription fees

● Booking fees

● Transaction fees

Fees may change at any time with notice.

9. Cancellations

Customers and contractors may cancel bookings subject to our cancellation policy.

Repeated cancellations or no-shows may result in account suspension or removal.

10. Reviews

Customers may leave honest reviews.

Contractors may respond professionally.

Fraudulent, abusive, defamatory, or misleading reviews may be removed.

11. Prohibited Conduct

Users may not:

● Submit false information

● Harass or threaten others

● Circumvent Platform payments

● Engage in illegal activity

● Post discriminatory content

● Use another person’s account

● Upload viruses or malicious software

● Attempt to hack or disrupt the Platform

12. Background Checks

If background checks are offered, they are provided for informational purposes only.

The Platform does not guarantee the accuracy or completeness of any background check.

Customers remain responsible for deciding whether to hire a contractor.

13. Insurance

The Platform does not provide insurance coverage for contractors unless expressly stated.

Contractors are responsible for obtaining any insurance required by law or appropriate for their services.

14. Intellectual Property

All Platform content, including logos, trademarks, graphics, text, software, and designs, is owned by the Platform or its licensors.

Users may not copy or reproduce any content without written permission.

15. Account Suspension

We may suspend or terminate accounts for violations of these Terms, fraud, abusive behavior, illegal activity, or misuse of the Platform.

16. Disclaimer

The Platform is provided “AS IS” and “AS AVAILABLE.”

We make no warranties regarding:

● Contractor performance

● Customer conduct

● Job availability

● Earnings

● Platform availability

17. Limitation of Liability

To the fullest extent permitted by law, the Platform shall not be liable for:

● Personal injury

● Property damage

● Lost profits

● Lost business opportunities

● Contractor negligence

● Customer negligence

● Disputes between users

● Indirect or consequential damages

18. Indemnification

Users agree to indemnify and hold harmless the Platform, its owners, employees, affiliates, and agents from claims, damages, liabilities, costs, and attorney’s fees arising from their use of the Platform or violation of these Terms.

19. Privacy

Your use of the Platform is also governed by our Privacy Policy.

20. Dispute Resolution

Any disputes arising under these Terms shall first be addressed through good-faith negotiation.

If unresolved, disputes shall be resolved through binding arbitration or the courts located in LOUISIANA, unless prohibited by law.

21. Governing Law

These Terms are governed by the laws of the State of LOUISIANA, without regard to conflict-of-law principles.

22. Changes to These Terms

We may modify these Terms at any time.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.
